On September 26, 2025, AAR Corp. announced today that it has acquired American Distributors Holding Co., LLC (ADI) in an all‑cash transaction valued at $146 million, financed through its existing revolving credit facility.
ADI, founded in 1983, generated $149 million in revenue and $15.2 million in EBITDA for the trailing twelve months ended June 30, 2025. The company employs approximately 400 staff across six locations in the United States, United Kingdom, and India, and supplies high‑performance electronic components to commercial and defense customers.
The acquisition expands AAR’s new parts distribution activity, adding complementary electronics product lines and deepening OEM relationships. By integrating ADI into its Parts Supply segment, AAR expects to accelerate revenue growth, realize operational synergies, and strengthen its competitive position in the aviation aftermarket.
