Western Midstream Partners, LP (WES) announced on 15 October 2025 that it has completed its acquisition of Aris Water Solutions, Inc. (ARIS), finalizing a $1.5 billion equity‑and‑cash transaction that was first disclosed in August. Each Aris Class A common share and each unit of Aris Water Holdings, LLC was converted into a right to receive the merger consideration, consisting of 0.625 common units of WES or $25.00 in cash, or a combination of 0.450 common units and $7.00 in cash. The total cash consideration amounts to $415.0 million, while the equity consideration totals approximately 26.6 million WES common units.
The completion of the deal makes WES one of the largest three‑stream midstream operators in the Delaware Basin, adding Aris’s extensive produced‑water gathering, recycling, and disposal network to WES’s existing natural‑gas and condensate assets. The combined entity will be positioned as a leading integrated water solutions provider, offering end‑to‑end services for produced‑water handling, transportation, and beneficial reuse. The transaction is expected to enhance operational synergies, broaden the customer base, and strengthen the company’s competitive moat in the Permian Basin.
Aris shareholders now receive the agreed merger consideration, with approximately 28% paid in cash and 72% in WES common units. The transaction’s completion marks the end of the merger process and the beginning of integration efforts, which will involve aligning Aris’s water infrastructure with WES’s midstream operations. The deal represents a significant strategic shift for both companies, expanding WES’s footprint and providing Aris’s technology and customer relationships to a larger platform.
