Pennsylvania American Water, a subsidiary of American Water Works Company, Inc. (AWK), finalized the purchase of the Elizabeth Borough Municipal Authority (EBMA) wastewater system on December 16, 2025. The $28 million deal adds roughly 660 direct customer connections in Elizabeth Borough, Allegheny County, and serves an additional 1,500 indirect customers in surrounding townships such as Lincoln Borough, Elizabeth, and Forward townships.
The acquisition received approval from the Pennsylvania Public Utility Commission on October 9, 2025, after a public input hearing held on June 5, 2025. Elizabeth Borough agreed to sell the system in January 2023, citing the need for substantial infrastructure investment and regulatory compliance. Pennsylvania American Water will invest more than $25 million over the next five years to upgrade the EBMA system, ensuring it meets state and federal water quality standards.
This transaction aligns with AWK’s broader strategy to broaden its regulated footprint through targeted acquisitions of municipal systems. By acquiring EBMA, the company addresses the challenges of aging infrastructure and increasing regulatory requirements that many smaller municipal utilities face, while simultaneously expanding its customer base and service portfolio.
Justin Ladner, President of Pennsylvania American Water, said the acquisition “welcomes a new group of wastewater customers and reaffirms our commitment to providing safe, reliable, and affordable service.” He added that the company’s technical expertise and experience will help deliver the necessary upgrades and maintain high service quality.
The deal strengthens AWK’s position as the largest regulated water and wastewater utility in the United States. By adding new customers and expanding its infrastructure, Pennsylvania American Water reinforces its long‑term capital plan and positions itself to capture growth opportunities in the regional water services market.
