Brookfield Infrastructure and GATX to Acquire Wells Fargo's Rail Assets for $4.4 Billion

On May 29, 2025, GATX Corporation announced a definitive agreement to acquire approximately 105,000 railcars from Wells Fargo for $4.4 billion through a newly formed joint venture with Brookfield Infrastructure Partners L.P. and its institutional partners.

The initial equity ownership in the joint venture will be 30% for GATX and 70% for Brookfield Infrastructure. This acquisition will establish the second largest railcar leasing platform in North America, featuring a critical, highly diversified, and large-scale transportation network with 98% utilization.

The total equity contribution for the transaction is expected to be approximately $1.2 billion, with Brookfield Infrastructure's share being approximately $300 million. The transaction is anticipated to close in the first quarter of 2026, subject to customary closing conditions.
