REalloys Inc. and Mission Critical Materials LLC (MCM) have signed a memorandum of understanding that creates the first fully domestic mine‑waste‑to‑magnet supply chain in the United States. MCM’s acid‑mine‑drainage recovery technology, developed at West Virginia University with funding from the U.S. Department of Energy and the Department of Defense, will feed REalloys’ rare‑earth separation, HF‑free metallization, alloy production, and magnet manufacturing lines.
The partnership turns an environmental liability into a strategic feedstock for heavy rare earths—dysprosium, terbium, yttrium, gadolinium—and light rare earths such as neodymium‑praseodymium. By producing heavy‑rare‑earth magnets without Chinese involvement, REalloys becomes the only U.S. company positioned to meet the defense procurement rules that will prohibit sourcing from China, Russia, Iran, or North Korea starting January 1 2027. “By turning environmental liability into strategic sources of rare‑earth feedstock, we are securing domestic access to elements at the heart of U.S. defense technologies,” said Leonard Sternheim, CEO of REalloys.
For Blackboxstocks, the deal advances its reverse‑merger strategy and signals a decisive pivot away from its struggling fintech platform. The new supply chain opens revenue streams from the Defense Logistics Agency, the Department of Defense, and the Department of Energy, aligning the combined entity with government priorities for critical minerals. “For years, the United States has led in rare‑earth research but lacked a fully domestic pathway to convert that innovation into industrial output,” said Steve Dunmead, CEO of MCM.
The memorandum is non‑binding, but the parties expect to negotiate a definitive multi‑year offtake agreement in 2026. The collaboration will support U.S. strategic stockpiles and defense manufacturing, marking a significant milestone in the nation’s critical‑minerals strategy.
MCM’s technology recovers dysprosium, terbium, yttrium, gadolinium, and neodymium‑praseodymium from acid‑mine‑drainage, leveraging DOE and DoD funding. The partnership positions REalloys to meet the new procurement rules and establishes a first domestic mine‑waste‑to‑magnet supply chain, a key development for the U.S. rare‑earth industry and the defense industrial base.
