Canopy Growth Corporation announced the results of its Annual General and Special Meeting of Shareholders, which was reconvened on October 10, 2025, on October 15, 2025. The meeting elected a full slate of directors: David Lazzarato (91.82% approval), Theresa Yanofsky (90.90%), Luc Mongeau (92.51%), Shan Atkins (92.22%), and Joe Bayern (92.91%). Each nominee received more than 90% of the votes cast, with vote totals ranging from 35,122,647 to 35,899,799 and corresponding against votes between 3,015,504 and 3,160,608. The shareholders also approved the re‑appointment of PKF O’Connor Davies, LLP as the company’s auditors for the fiscal year ending March 31, 2026, and authorized the board to fix director remuneration. Additionally, the meeting adopted an amendment to the articles of incorporation to consolidate the company’s issued and outstanding common shares and exchangeable shares. The share consolidation will be implemented only if the board determines it is in the best interest of the company and its shareholders, and the authority will lapse if not implemented within 12 months. These governance actions are material because they shape the composition of the board, establish the audit oversight for the upcoming fiscal year, and potentially alter the capital structure through share consolidation. The unanimous approval of the directors and auditors signals strong shareholder confidence, while the amendment to the articles may affect shareholder voting power and liquidity. Together, these outcomes provide a clear indication of the company’s strategic direction and governance priorities for the coming year.
