Conduent announced that Harsha V. Agadi, former chairman, will become CEO effective immediately, replacing Cliff Skelton who will step down as president, CEO, and board member. Agadi brings more than 35 years of executive experience and has led six companies as CEO. He will also relinquish his chairmanship to focus on the CEO role.
The leadership change comes amid a broader transformation effort aimed at accelerating technology‑driven growth. Conduent has been restructuring its portfolio, divesting non‑core businesses, and investing heavily in AI and digital platforms. Agadi, who joined the board in 2025, is expected to steer the company through the next phase of this transformation.
Conduent’s recent financial performance has been mixed. In Q3 2025, adjusted revenue fell 1.8% year‑over‑year to $767 million, and adjusted EBITDA margins hovered around 5.2%. The company’s stock has traded well below its 52‑week high, reflecting investor concerns about revenue declines and thin margins. Agadi’s mandate is to stabilize revenue, expand margins, and deliver long‑term value.
Management highlighted that the new CEO will focus on operational efficiency and scaling AI initiatives. “I look forward to working closely with the Conduent team to leverage the company’s unique strengths, accelerate the pace of our growth, and deliver long‑term value for our clients, shareholders, and employees,” Agadi said. Skelton added that the transition is timely, noting the company is well‑positioned for future growth.
The appointment also coincides with the election of Margarita Paláu‑Hernández as independent chair of the board, reinforcing governance oversight. The board’s composition and leadership changes signal confidence in Agadi’s ability to navigate the company’s strategic priorities and address the challenges highlighted by recent earnings.
