September 26, 2025
On September 26, 2025, CNH Industrial N.V. announced that its wholly owned subsidiary, CNH Industrial Capital LLC, had priced $500 million in aggregate principal amount of 4.500% senior unsecured notes due 2030, with an issue price of 99.765%. The notes will mature on October 16, 2030, and will pay interest semi‑annually on April 16 and October 16 each year, beginning April 16, 2026. The proceeds from the offering are earmarked for general corporate purposes, including working capital and the purchase of receivables or other assets in the ordinary course of business. The company also indicated that the net proceeds may be applied to repay CNH Industrial Capital LLC’s indebtedness as it becomes due, providing a flexible source of liquidity for future needs. The offering is being managed by a consortium of major underwriters—Citigroup Global Markets Inc., Mizuho Securities USA LLC, RBC Capital Markets, LLC, and Wells Fargo Securities, LLC—along with joint book‑running managers BNP Paribas Securities Corp., Credit Agricole Securities (USA) Inc., Santander US Capital Markets LLC, and SMBC Nikko Securities America, Inc. The notes are guaranteed by CNH Industrial Capital America LLC and New Holland Credit Company, LLC, both wholly owned subsidiaries of CNH Industrial Capital LLC. This financing event strengthens CNH Industrial’s balance sheet by adding a sizable, low‑cost debt instrument that can be used to support ongoing operations, fund capital expenditures, or refinance existing obligations. The issuance also signals confidence from the market and underwriters in CNH’s financial position, providing investors with a tangible source of liquidity to navigate the current cyclical downturn.
