CommScope to Sell CCS Segment to Amphenol for $10.5 Billion; Reports Strong Q2 2025 Results and Raises Guidance

CommScope announced on August 4, 2025, a definitive agreement to sell its Connectivity and Cable Solutions (CCS) segment to Amphenol Corporation for approximately $10.5 billion in cash. This sale is expected to close in the first half of 2026, subject to customary closing conditions, including regulatory and shareholder approvals. The company expects net proceeds of approximately $10 billion after taxes and transaction expenses. These proceeds will be used to repay all existing debt, redeem all preferred equity held by Carlyle, and add modest leverage to the remaining business. CommScope anticipates distributing significant excess cash to common shareholders as a dividend within 60 to 90 days following the closing of the transaction. Concurrently, CommScope reported strong second-quarter 2025 results, with net sales of $1.388 billion, a 31.7% increase year-over-year. Non-GAAP adjusted EBITDA surged by 79.0% to $337.8 million, with the adjusted EBITDA margin reaching 24.3%. The company also raised its 2025 adjusted EBITDA guideposts to $1.15 billion to $1.20 billion, up from the previous range of $1.00 billion to $1.05 billion. The CCS business, which Amphenol is acquiring, is projected to have sales of approximately $3.6 billion and EBITDA margins of 26% in calendar 2025. CommScope's remaining businesses, Access Network Solutions (ANS) and RUCKUS (formerly NICS), demonstrated strong recovery, with their combined trailing twelve-month non-GAAP adjusted EBITDA at $300 million on net sales of $1.7 billion.
