CoreCivic Appoints Three New Independent Directors to Board, Enhancing Expertise

CoreCivic announced the appointment of Dawn Smith, Stacey Tank, and Nina Tran as independent members of its Board of Directors, effective March 17, 2025. These appointments expand the Board from eleven to fourteen directors, with thirteen now designated as independent.

The new board members bring diverse and valuable expertise: Dawn Smith has a deep background in corporate law, operational leadership, and information technology; Stacey Tank holds executive leadership positions in commercial and non-profit entities with experience at large publicly-traded companies; and Nina Tran contributes decades of financial and accounting expertise, particularly in real estate.

These additions are expected to strengthen the Board's oversight and strategic capabilities. Concurrently, long-serving board members Robert Dennis and Anne L. Mariucci will not seek re-election at the 2025 Annual Meeting, leading to a board size of twelve directors after their departure.
