GameSquare Holdings, Inc. announced the acquisition of Click Management, a leading talent management firm, for $8.5 million plus contingent earnouts. Click Management generated $12.4 million in annual revenue in 2024 and is expected to contribute $14.5 million of annualized pro-forma revenue and approximately $1.2 million of annualized pro-forma EBITDA for the second half of 2025.
In conjunction with the acquisition, GameSquare is discontinuing operations of Frankly Media, its programmatic advertising solutions provider. Frankly contributed $46.9 million in sales, $2.2 million in gross margin, and an EBITDA loss of $1.1 million for the year ending December 31, 2024. This divestiture is expected to be completed on September 15, 2025, and is anticipated to be accretive to profitability and gross margin.
The company also consolidated Sideqik into Stream Hatchet, with the combined business operating as Hatchet, offering comprehensive technology and managed services. This consolidation is expected to reduce annual operating expenses by $1.25 million. On a proforma basis for the second half of 2025, GameSquare expects revenue of $36.8 million and adjusted EBITDA of $2.9 million, with $87.7 million in cash and on-chain holdings and no debt outstanding as of August 31, 2025.
