Gold Fields Limited, through its affiliate Gold Fields Netherlands Services B.V., invested $50 million to acquire 12,048,193 common shares of Founders Metals Inc. at $4.15 per share in a non‑brokered private placement expected to close on or about November 10 2025, subject to TSXV approval.
The proceeds will fund land consolidation, regional exploration, working capital, and general corporate purposes at Founders Metals’ Antino Gold Project in southeastern Suriname. The transaction includes an Investor Rights Agreement that grants Gold Fields top‑up and financing participation rights, a seat on the technical committee, and the right to appoint a board nominee if its ownership reaches 12.5%.
Gold Fields has reported strong first‑quarter earnings, with a first‑half 2025 profit of $1,027 million, up from $1,027 million in the first half of 2024. The investment expands Gold Fields’ exploration footprint into the Guiana Shield, a region with significant gold potential and a geological profile similar to the West African Birimian Shield. The Antino project spans 56,000 hectares, has a history of artisanal and alluvial mining, and has produced over 500,000 ounces of gold historically. Founders Metals has been actively drilling, making new discoveries, and expanding its land package, positioning the project as tier 1 potential.
The deal provides Gold Fields with a foothold in a high‑grade project that could contribute to future production and cash flow, aligning with the company’s strategy to enhance portfolio quality and generate additional cash flow per share. Gold Fields Netherlands Services B.V. is part of Gold Fields’ corporate development and exploration strategy, providing financing and strategic support for exploration ventures.
The Antino Gold Project is located in a stable mining jurisdiction, and the Guiana Shield attracts interest from other major miners such as Newmont and Barrick. The investment reflects Gold Fields’ continued focus on high‑potential exploration assets and its commitment to expanding operations across multiple continents.
