Home Depot Receives Early HSR Act Termination for GMS Acquisition

The Home Depot announced that the Antitrust Division of the U.S. Department of Justice has granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR Act). This is in connection with Home Depot's tender offer to acquire GMS Inc. for $110.00 per share in cash.

The early termination of the HSR Act waiting period satisfies one of the conditions necessary for the consummation of the tender offer and the transactions outlined in the merger agreement dated June 29, 2025. This accelerates the regulatory approval process for the acquisition.

Consummation of the tender offer remains subject to other conditions, including the expiration of the applicable waiting period under the Canadian Competition Act and the tender of a majority of the outstanding shares. The tender offer is set to expire on August 22, 2025, unless further extended.
