MediaKind, a global leader in cloud‑based video streaming technology, announced that it will acquire Harmonic Inc.’s Video Business for approximately $145 million in cash. The transaction is expected to close in the first half of 2026 and is subject to customary regulatory approvals and a consultation with Harmonic’s French employee works council.

The deal allows Harmonic to concentrate on its core broadband platform, the cOS virtualised solution that powers DOCSIS 4.0 and fiber deployments for carriers such as Comcast and Charter. In its most recent earnings release, Harmonic reported that Video revenue grew 2.9% year‑over‑year to $51.9 million, with SaaS revenue up 13.6% to $16.1 million. Although the company’s overall revenue fell 27.3% to $142.4 million, the Video segment’s modest growth and high gross margin of 66.7% underscore its value as a strategic asset to be divested.

For MediaKind, the acquisition expands its streaming‑infrastructure portfolio by adding a proven video delivery engine and a customer base that is expected to generate more than $100 million in annual recurring revenue and over $150 million in appliance revenue. The added capabilities will accelerate MediaKind’s ability to serve large media and telecom customers with a unified SaaS and appliance offering, positioning the company as a leading independent streaming‑infrastructure provider.

The $145 million cash consideration reflects a valuation that aligns with the Video Business’s recent performance and the strategic premium MediaKind is willing to pay for a complementary technology platform. The transaction is contingent on regulatory approvals and the completion of the French works council consultation, both of which are standard for cross‑border acquisitions involving French employees.

Industry analysts note that the deal reflects a broader trend of consolidation and specialization in the media and telecommunications sector. Harmonic’s exit from video allows it to double down on broadband, while MediaKind’s expansion strengthens its competitive stance amid growing demand for cloud‑native streaming solutions and the rollout of next‑generation broadband infrastructure.

"The transaction will create the leading independent streaming infrastructure company," said Allen Broome, CEO of MediaKind. "By combining our SaaS platform with Harmonic’s proven video delivery engine, we will deliver a stronger, more reliable partner to power the future of video.”

Nimrod Ben‑Natan, President and CEO of Harmonic, added, "The sale of the Video Business will allow Harmonic to focus on its core broadband segment and use the proceeds to strengthen our balance sheet, support ongoing investments in cOS, and accelerate growth in the broadband market."

The deal is expected to close in the first half of 2026, pending regulatory approvals and the French works council consultation. Both companies anticipate that the transaction will enhance their respective growth trajectories and provide a stronger foundation for future innovation.
