On October 10, 2024, Idaho Strategic Resources, Inc. entered into a Sales Agreement with Roth Capital Partners, LLC. This agreement allows the company to offer and sell common stock with an aggregate offering price of up to $15,000,000.
The Placement Shares will be offered and sold through or to the Sales Agent, as agent or principal, via an 'at the market offering' on the NYSE American. The company is not obligated to sell any shares under this agreement.
Idaho Strategic Resources will pay the Sales Agent a commission of up to 3.0% of the gross proceeds from each sale of Placement Shares. This financing mechanism provides the company with a flexible way to raise capital for its operations and exploration activities.
