Liberty Global to Sell UPC Slovakia to O2 Slovakia for €95 Million

Liberty Global has agreed to sell its UPC Slovakia operation to O2 Slovakia, an affiliate of the e& PPF Telecom Group, for a total consideration of approximately €95 million (about $110 million). The transaction will transfer UPC Slovakia’s TV, broadband and telephony services, which serve more than 600,000 households across 80 cities in Slovakia, to the buyer.

The deal is priced at roughly seven times UPC Slovakia’s estimated 2025 Adjusted EBITDA and about fifteen times EBITDA less capital expenditures, reflecting a premium for the subscriber base and infrastructure. The sale is part of Liberty Global’s broader strategy to exit its remaining Central European assets and concentrate on higher‑growth markets such as the United Kingdom, Germany and the United States. By divesting UPC Slovakia, Liberty Global can free up capital to reduce debt and invest in its core platforms, while also simplifying its European footprint.

For O2 Slovakia, the acquisition expands its fixed‑line footprint and supports its fixed‑mobile convergence strategy. The addition of UPC’s broadband network and customer base will allow O2 to offer a more comprehensive converged service portfolio, strengthening its competitive position in a market where mobile dominance is complemented by high‑speed fixed access. The move also aligns with the e& PPF Telecom Group’s goal of building a pan‑Central‑Eastern European network that can deliver bundled services across multiple countries.

The transaction follows a series of divestments by Liberty Global in Central and Eastern Europe, including the sale of its German, Hungarian, Romanian and Czech Republic assets to Vodafone in 2019 and the sale of UPC Poland to Iliad’s Play. The UPC Slovakia sale marks the final exit from the region, completing Liberty Global’s transition to a more focused, high‑growth portfolio.

The deal is subject to regulatory approval and customary closing conditions. Once approved, the transaction is expected to close in the coming months, after which O2 Slovakia will assume responsibility for the 600,000‑plus subscriber base and the associated network infrastructure.
