(ISS), a leading independent proxy advisory firm, recommended that Matthews International shareholders vote 'FOR' all of Barington Capital's director nominees. The nominees are Ana Amicarella, Chan Galbato, and James Mitarotonda, for election at Matthews' Annual Meeting of Shareholders on February 20, 2025.
ISS found that the incumbent Board 'failed to exercise effective oversight of management' and 'continues to suffer from major deficiencies with independence that necessitate further change.' ISS also recommended shareholders vote 'WITHHOLD' on Matthews' nominees Terry L. Dunlap, Alvaro Garcia-Tunon, and J. Michael Nauman.
James Mitarotonda, Chairman and CEO of Barington Capital, expressed pleasure that ISS agreed that change was warranted at Matthews. He highlighted that ISS recognized the significant value Barington's nominees could bring to the Board, including sector expertise and a culture of accountability.
