New Fortress Energy Receives Nasdaq Non-Compliance Notice for Q1 2025 Filing

New Fortress Energy Inc. announced on May 27, 2025, that it received a notice from the Nasdaq Stock Market's Listing Qualifications Department. The notice stated that the company is not in compliance with Nasdaq Listing Rule 5250(c)(1) due to its failure to timely file its Form 10-Q for the period ended March 31, 2025, with the U.S. Securities and Exchange Commission (SEC).

The Nasdaq Rule requires listed companies to timely file all required periodic financial reports. New Fortress Energy has 60 calendar days from the date of the notice to submit a plan to regain compliance, and Nasdaq may grant up to 180 calendar days, or until November 11, 2025, to file the Form 10-Q.

The company stated that the notice has no immediate impact on the listing or trading of its securities on the Nasdaq Stock Market. However, failure to timely regain compliance could result in the delisting of its Class A common stock from Nasdaq, which is a material risk for investors.
