ServiceNow announced its intent to acquire Veza, a company that specializes in AI‑native identity security, for a transaction valued at more than $1 billion. The deal is subject to customary regulatory approvals and is expected to close in the second half of 2026.

Veza’s patented Access Graph maps access relationships across human, machine, and AI identities, providing end‑to‑end visibility and risk control. Integrating this technology with ServiceNow’s AI Control Tower will give customers a single pane of glass to govern AI agents and enforce least‑privilege policies across all identities.

The acquisition expands ServiceNow’s Security and Risk portfolio into a critical area of cybersecurity that is accelerating as enterprises adopt autonomous AI agents. CEO Bill McDermott said the deal “strengthens our position as the AI operating system for the agentic enterprise.”

Veza serves more than 150 global enterprise customers and employs over 190 people as of April 2025. The transaction is expected to close in the second half of 2026, pending regulatory approval.

ServiceNow’s Q3 2025 results showed subscription revenue of $3.299 billion, a 21.5% year‑over‑year increase, and the company raised its full‑year guidance for subscription revenue and operating margin, reflecting confidence in its AI‑driven growth. The acquisition is part of a broader strategy to capture a larger share of the identity‑security market, which is projected to grow as AI adoption accelerates.

Investors reacted positively, noting that the acquisition aligns with ServiceNow’s strategy to deepen its security and AI capabilities and to capture a growing identity‑security market.
