EU Antitrust Regulators Clear Boeing's $4.7 Billion Spirit AeroSystems Acquisition with Concessions

Boeing secured EU antitrust approval on October 14, 2025, for its $4.7 billion acquisition of Spirit AeroSystems. The European Commission's merger regulator cleared the deal after Boeing agreed to sell some Spirit businesses to address competition concerns.

The Commission had concerns that the transaction, as initially notified, would have significantly reduced competition in the global markets for aerostructures and large commercial aircraft. To mitigate these concerns, Boeing offered specific divestitures.

The concessions include the sale of all Spirit's businesses that currently supply Airbus with aerostructures to Airbus, and Spirit's site in Malaysia to Composites Technology Research Malaysia Sdn. Bhd. The European Commission concluded that the modified transaction would no longer raise competition concerns, approving Airbus and CTRM as suitable buyers.
