On September 25, 2025, The Timken Company announced that it has applied to the Ontario Securities Commission (OSC) for an order to cease being a reporting issuer in Ontario, the only Canadian jurisdiction where it holds that status.
If the OSC grants the request, Timken will no longer be required to file certain financial reports and disclosures in Canada that it already reports in the United States. The company will continue to file all financial statements and other continuous disclosure materials required with U.S. regulators and the New York Stock Exchange, ensuring Canadian shareholders receive the same disclosures as U.S. shareholders.
This regulatory change simplifies Timken’s reporting obligations in Canada and reduces compliance costs, but it does not have an immediate impact on the company’s financial performance or operations.
