Vivakor, Inc. (Nasdaq: VIVK) announced today, September 30 2025, that it has signed a term sheet with a non‑affiliate counterparty to provide up to $23 million in funding in exchange for the issuance of a new series of convertible preferred stock. The transaction is structured as a convertible preferred equity issuance, with the company planning to issue $25 million in Series B Convertible Preferred Stock under the proposed terms. The funding will be allocated across Vivakor’s core business segments: $15 million in restricted cash will be directed to the company’s crude‑oil marketing arm, Vivakor Supply & Trading; $3 million in unrestricted working capital will support near‑term operational needs; and the remediation segment will receive at least $5 million in assets and facilities, including land, equipment, and crude‑oil inventory. In addition to the capital infusion, the counterparty will commit to using Vivakor’s trucking fleet exclusively for a three‑year period in the Permian and Eagle Ford basins. This exclusivity is intended to strengthen utilization of the company’s transportation network and create synergies across its marketing, remediation, injection, and terminaling operations. The deal provides Vivakor with a significant liquidity boost, enabling it to accelerate growth in its marketing and remediation businesses while reinforcing its midstream infrastructure. The agreement includes an exclusivity period through December 31 2025 and a target closing date at year‑end, positioning the company to capitalize on increased throughput and potential revenue expansion in the coming quarters.
