VisionWave Holdings, Inc. signed a binding Letter of Intent to acquire Solar Drone Ltd., a subsidiary of BladeRanger Ltd., on November 13, 2025. The transaction will be financed with 1.8 million shares of VisionWave common stock, giving BladeRanger shareholders a direct stake in VisionWave.

The parties plan to negotiate a definitive Share Purchase Agreement by December 10, 2025, with a closing target of December 31, 2025, subject to customary conditions and regulatory approvals, including ITAR and EAR compliance.

Solar Drone specializes in mission‑ready unmanned‑aerial systems for infrastructure inspection, civil protection, and homeland‑security operations. Its platform features a 4.5‑kW airborne pump, AI‑enhanced UV and visible‑spectrum sensors, configurable nozzle arrays, and low‑flow operation, positioning it as a leader in dual‑use drone technology.

VisionWave’s AI‑driven sensor‑fusion and command‑and‑control platform will integrate with Solar Drone’s aerial systems to accelerate the development of autonomous, AI‑enabled drones capable of operating in complex environments. This integration expands VisionWave’s product portfolio beyond radar and vision systems, opening new revenue streams in defense and homeland‑security markets.

Douglas Davis, Executive Chairman of VisionWave, said the partnership would “combine advanced robotics with real‑time AI to deliver drones that think, act, and protect.” Shmuel Yannay, Co‑Founder and Director of BladeRanger, added that the collaboration represents a major step forward for Israeli innovation and global safety.
