GeneDx to Acquire Fabric Genomics, Expanding AI-Powered Genomic Testing Globally

GeneDx announced on April 16, 2025, its plans to acquire Fabric Genomics, a pioneer in AI-powered genomic interpretation. This strategic acquisition, valued at up to $51 million with $33 million in cash at closing, is expected to close in the second quarter of 2025.

The acquisition aims to usher in the next phase of genomic medicine by enabling decentralized testing powered by centralized intelligence. This model will allow health systems to utilize GeneDx’s centralized lab or perform sequencing in-house and access GeneDx’s industry-leading data asset through Fabric Genomics’ AI-powered interpretation platform.

This combination is expected to expand GeneDx’s addressable market significantly, particularly in NICU genomic testing, genomic newborn screening (gNBS), and global commercial expansion. Fabric Genomics’ cloud-native platform will enable GeneDx to deliver centralized AI interpretation while complying with local regulations, supporting flexible go-to-market strategies worldwide and creating new revenue streams through software-as-a-service (SaaS) and interpretation-as-a-service (IaaS) models.
